Description
A leading home builder in the
Western United States for over twenty years, Paragon executives have
been actively involved in land acquisition, entitlement and
construction of single-family and multi-family homes, as well as
development, construction and management of commercial properties.

Paragon targets a broad spectrum
of homebuyers in Southern California with entry-level to high-end,
luxury single-family homes. At all times, Paragon remains a

History
Southern California-based,
Paragon Communities home building executives together represent more
than 60 years of development experience in the Western United States.
The company executives have grown to develop more than 18,000 homes
with sales in excess of $750 million. Paragon executives have
consistently ranked among the top builders in Southern California; and
one of its principals, Brian Catalde, has been recognized by the
Building Industry Association of Southern California as "Builder of the
Year" for 1996. In 1993, he was named "CEO of the Year," by Sales
& Marketing Council.

Scope of Real Estate Development Activities
Overview
Paragon is involved in the
full spectrum of real estate development disciplines, from land
acquisition and entitlement processing to the construction and sale of
homes. Paragon’s multi-faceted duties and responsibilities in the
development process include:
- negotiating and acquiring land,
- real property subdivision, zoning and
mapping,
- infrastructure planning and improvements,
- product development and design
- general contracting and home construction,
- site supervision,
- sales and marketing, and
- customer service.
Methods
of Financing
Paragon has established
relationships with capital sources, both debt and equity, to provide
for the complete financing of the acquisition, development and
construction of its portfolio of projects.
Equity contributions
are supplemented with traditional A&D and construction loans,
credit lines and joint venture arrangements. In addition, Paragon is
experienced in accessing the capital markets through various bond
financings, including mortgage revenue bonds on redevelopment projects.
Marketing
and Sales
At all times, Paragon remains
a "market-driven" company. Staying in constant touch
with buyer sentiment and competitive pressures, with an eye on the
bottom-line, Paragon has always played a pivotal role in designing,
managing and implementing a comprehensive marketing program. Utilizing
the strength of its in-house marketing professionals, Paragon involves
third-party marketing/advertising firms and sales agencies. Paragon's
seasoned in-house staff closely coordinates and monitors the processing
of sales in escrow by tracking loan approvals, amenity/option
selections, final walk-throughs and closings.

A
driving
force and leader within Southern California's home building industry,
Brian Catalde has served on the Executive Board of the Building
Industry Association of Southern California (BIASC) and National
Association of Home Builders (NAHB) for the past 14 years. Among Mr.
Catalde's other past industry accomplishments, he has earned the
Building Industry Association's "Individual Achievement Award."
Intimately concerned with the legislative side of the building
profession, Mr. Catalde has headed the governmental affairs functions
for both the California Building Industry Association (CBIA) and BIASC
and is frequently called upon as an industry resource. Additionally, he
is past President of the Southern California-based Governmental Affairs
Council, which focuses on state and national government issues
affecting all developers and the business community. He has been the
California representative to the National Association of Home Builders
(NAHB), and has served on the NAHB Governmental Affairs Committee for
more than several years, and was the chairman for 2001. Currently, he
has taken the role of Secretary - Vice President of the National
Association of Home Builders for 2004-2005.
JEFFREY
DONFELD
General Counsel
Mr.
Donfeld is
a 1968 graduate of U.C. Berkley School of Law (Boalt Hall). He served
as a Staff Assistant to the President of the United States from
1969-1971 and as Assistant Director of the White House Special Action
Office
for Drug Abuse Prevention from 1971-1973. Mr. Donfeld co-founded
Donfeld,
Kelley and Rollman in 1985. His legal practice concentrates in the
representation of shopping center, office building, industrial park and
residential land developers in the formation of their limited liability
companies, land and ground lease acquisitions, construction and
permanent
financing, securing of disposition and development agreements, and
drafting
and negotiating of tenant leases. In connection with his representation
of
residential land developers, he represents privately held development
companies and multi-national oil companies in securing development
agreements and drafting and negotiating joint venture agreements and
land
disposition agreements with merchant builders.
PATRICIA CLACK
Director of Sales
Ms.
Clack joined
Paragon in November 1986 as a Sales Consultant and in December 1994 was
promoted to Director of Sales. She is responsible for recruiting and
training all onsite sales consultants, with emphasis on implementing
new strategic action plans to achieve the finest professional client
relations. Prior to joining Paragon, Ms. Clack worked in international
sales for Pan-Am Airlines in New York City and as a Shareholders
Control Coordinator for Radio Corp. of America - Wall Street in New
York City. Ms. Clack received her degree in England, majoring in
economics/finance. Advancing her career, Ms. Clack continued her
education in real estate at California State University, Los Angeles
and in January of 2002, obtained her broker's license.
JAY MORIN
Project Manager
Mr. Morin joined
Paragon in September of 1999 as Purchasing Manager. In
March of 2002, he was promoted to Project Manager. He is responsible
for overseeing the management of consultants, project scheduling and
budget
control and subcontractors. Previously, Mr. Morin worked in project
management and cost estimating at the Sares-Regis Group in Irvine,
California and worked as general manager for a commercial contractor
based
in Commerce, California. Mr. Morin received his Bachelors of Science
degree
in construction management and engineering at California State
University,
Long Beach.
SCOTT MORIN
Director of Construction

MARISA SAN MATEO
Office Manager Ms. San Mateo
joined Paragon in October 1998, as Office Manager. She applies her 15 years of experience
in real estate, combining her office management and human resources background.
Ms. San Mateo has obtained a degree at United College of Business, emphasizing in accounting
and business management. She is responsible for accounting, office administration and field compliance.
JACK E. SMITH
Certified Public Accountant
Mr. Smith joined the
Paragon Communities in November 2001. He is responsible for the
oversight of financial and tax reporting as well as strategic financial
planning. Mr. Smith is a licensed Certified Public Accountant and has
over 20 years of experience in financial, tax and real estate
accounting and reporting. Mr. Smith has extensive experience in
financial and economic modeling of real estate development projects,
large and small, and has compiled numerous financial models used in
practice and in litigation support. He has experience in representation
before the Internal Revenue Service and the California Franchise Tax
Board and is a member of the American Institute of Certified Public
Accountants.
